1. Introduction
These terms and conditions govern your use of the Brikk platform (“Service”), operated by Brikk Limited (“Company”, “we”, “us”). By creating an account or using the Service, you agree to be bound by these terms. If you do not agree, please do not use the Service.
2. The Service
Brikk provides cloud-based property management and tax compliance tools for UK landlords, including:
- Property portfolio tracking with income, expense, and yield analysis.
- HMRC Making Tax Digital (MTD) quarterly submission capabilities.
- AI-powered financial insights and compliance monitoring.
- Bank feed and email integration for automated data capture.
- Document storage for property-related certificates and records.
3. Account Registration
- You must be at least 18 years old and a UK tax resident to use the Service.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate and complete information during registration.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorised access to your account.
4. Third-Party Integrations
The Service integrates with optional third-party providers. You control which integrations are connected and may disconnect any of them at any time via Settings. We are not endorsed by, sponsored by, or officially affiliated with these providers.
4.1 HMRC (Making Tax Digital)
- Brikk is compatible with HMRC’s Making Tax Digital (MTD) for Income Tax APIs.
- When you connect your HMRC account via OAuth 2.0, you authorise Brikk to submit quarterly updates and retrieve obligation data on your behalf. We do not store your HMRC sign-in credentials.
- You remain solely responsible for the accuracy and completeness of all information submitted to HMRC through the Service. You must review each submission before confirming it.
- Brikk transmits fraud prevention data to HMRC as required by law. See our Privacy Policy for details of the data collected.
4.2 Google (Gmail)
- If you choose to connect Gmail, Brikk requests the
gmail.readonlyscope solely to identify property-related receipts, invoices and agent statements within your inbox and surface them in the Service. - Brikk does not send, modify or delete email on your behalf, does not use Gmail data for advertising, and does not use Gmail data to train generalised AI or machine-learning models.
- You can revoke Brikk’s access at any time via Settings > Disconnect Gmail, or directly in your Google account at myaccount.google.com/permissions.
- Brikk’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for full details.
4.3 TrueLayer (Open Banking)
- If you connect a bank account, Brikk uses TrueLayer’s FCA-regulated Open Banking infrastructure to retrieve transaction and balance data on a read-only basis.
- You can revoke bank access at any time via Settings or directly with your bank. Open Banking consents expire automatically and must be re-authorised periodically.
5. No Professional Advice
- Brikk is a software tool, not a tax adviser, accountant, or legal professional. Nothing in the Service constitutes professional tax, legal, or accounting advice.
- The calculations, estimates, and AI-generated insights provided by the Service are based solely on the data you enter and are intended for informational purposes only.
- You are responsible for your own tax compliance. If you are unsure about your tax position or obligations, you should consult a qualified accountant, tax adviser, or solicitor before acting.
- Brikk does not verify or audit the accuracy of the data you enter, and we accept no liability for errors in HMRC submissions that result from incorrect, incomplete, or out-of-date information you have provided.
6. Your Responsibilities
- You are responsible for ensuring all property, income, and expense data is accurate and complete.
- You must review all HMRC submissions before confirming them through the Service.
- You must comply with all applicable UK tax laws and regulations.
- You must not use the Service for any illegal or unauthorised purpose.
- You must not attempt to gain unauthorised access to any part of the Service or its infrastructure.
7. Subscription & Payments
- Access to the Service requires an active subscription plan.
- Subscription fees are billed in advance on a monthly or annual basis via Stripe.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email.
- Refunds are handled on a case-by-case basis. Contact support for refund requests.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
9. Intellectual Property
- The Service, including its software, design, and branding, is owned by Brikk Limited and protected by intellectual property laws.
- You retain ownership of all data you input into the Service.
- You grant us a limited licence to process your data solely for the purpose of providing the Service.
- You may not copy, modify, distribute, or reverse-engineer any part of the Service.
10. Service Availability
- We aim to maintain high availability but do not guarantee uninterrupted access to the Service.
- We may perform scheduled maintenance with reasonable notice.
- We are not liable for downtime caused by third-party services (HMRC API, Supabase, Vercel, banking providers).
- HMRC API availability is outside our control. Submission failures due to HMRC downtime are not our responsibility.
11. Limitation of Liability
- The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and accuracy of tax calculations.
- To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of goodwill, loss of data, tax penalties, interest charges, or HMRC fines, however caused and whether arising in contract, tort (including negligence), or otherwise.
- Our total aggregate liability to you for all claims arising out of or in connection with the Service shall not exceed the total fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.
- Nothing in these terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
12. Account Termination & Data Retention
- You may delete your account at any time via Settings. We recommend exporting your data before doing so (see section 8).
- On deletion, your personal data (name, email, contact details) is permanently erased. Financial records (income, expenses, submission history) are anonymised so they can no longer identify you, and retained for up to 7 years to meet our legal, accounting, tax-record-keeping, and fraud-prevention obligations under applicable law, including UK GDPR Article 17(3).
- On deletion we also revoke any third-party OAuth tokens held on your behalf (HMRC, Google/Gmail, TrueLayer) so the associated providers can no longer be accessed by Brikk for your account.
- We may suspend or terminate your account if you materially breach these terms. Where reasonably possible, we will give you 14 days’ written notice and an opportunity to remedy the breach before termination takes effect.
- On termination for any reason, your right to use the Service ends immediately. Any accrued obligations (including fees due) survive termination.
13. Security
If you discover a security vulnerability in Brikk, please report it responsibly to security@brikk.cloud. We commit to investigating all reports promptly and will not pursue legal action against researchers who act in good faith.
14. Changes to These Terms
We may update these terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
15. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
